By accessing or using Kaizen AI Solutions ("the Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Service. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.
2. Description of Services
Kaizen AI Solutions provides AI-powered business automation tools, including but not limited to:
- AI Chat Receptionist: An AI-powered chatbot that handles customer inquiries, captures leads, and provides 24/7 website support
- AI Phone Receptionist: An AI voice agent that answers phone calls, qualifies leads, books appointments, and handles after-hours coverage
- Smart CRM: Customer relationship management tools for managing leads, contacts, and communication history
- Email & SMS Campaigns: Marketing automation tools for reaching customers via email and text message
- Analytics & Reporting: Dashboard and reporting tools to track performance and ROI
3. Account Responsibilities
When you create an account, you agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security and confidentiality of your login credentials
- Notify us immediately of any unauthorized access to your account
- Be responsible for all activity that occurs under your account
- Not share your account access with unauthorized third parties
We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.
4. Payment Terms
Pricing & Billing
- All payments are processed securely through Stripe
- Subscription plans are billed on a monthly or annual basis, depending on your selection
- Prices are listed on our website and may be updated with 30 days' notice
- A one-time setup fee may apply for onboarding and AI configuration
Cancellation & Refunds
- You may cancel your subscription at any time from your account dashboard or by contacting us
- Cancellation takes effect at the end of your current billing period — you retain access until then
- Setup fees are non-refundable once onboarding has begun
- Monthly subscription fees are non-refundable for the current billing period
- Annual subscriptions may be eligible for a prorated refund within the first 30 days
Failed Payments
If a payment fails, we will attempt to charge your payment method up to 3 times over 7 days. If all attempts fail, your account may be downgraded or suspended until payment is resolved.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights
- Send spam, unsolicited messages, or engage in harassment
- Upload malicious code, viruses, or attempt to compromise our systems
- Impersonate another person or entity
- Use the AI to generate illegal, harmful, deceptive, or misleading content
- Resell or redistribute the Service without a written reseller agreement
- Attempt to reverse-engineer, decompile, or extract our AI models or proprietary technology
- Exceed reasonable usage limits or engage in activity that degrades service for other users
6. Intellectual Property
All content, features, functionality, trademarks, and technology of the Kaizen AI Solutions platform are owned by us and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from our platform without written permission.
You retain ownership of all content you provide to the Service (business information, training data, customer data). By using the Service, you grant us a limited license to use this content solely for the purpose of providing and improving the Service.
7. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" and "as available" without warranties of any kind, express or implied
- We do not guarantee that the AI will be error-free, uninterrupted, or produce perfectly accurate responses
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
- Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim
- We are not responsible for business decisions made based on AI-generated responses or recommendations
8. Indemnification
You agree to indemnify, defend, and hold harmless Kaizen AI Solutions, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Content you provide to or generate through the Service
9. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe:
- Violates these Terms or our Acceptable Use policy
- Is harmful to other users, us, or third parties
- Involves fraudulent or illegal activity
Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination, after which it may be permanently deleted. You may request a data export before this period ends.
10. Modifications to Terms
We reserve the right to update or modify these Terms at any time. When we make material changes, we will:
- Update the "Effective Date" at the top of this page
- Notify you via email or in-platform notification at least 30 days before changes take effect
Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you disagree with any changes, you should stop using the Service and cancel your account.

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in California, and you consent to the personal jurisdiction of such courts.

- Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect
- Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kaizen AI Solutions
- Assignment: You may not assign your rights under these Terms without our written consent
